Reasons for Administrative Dissolution

A business entity that has not filed its annual report for more than one year may be dissolved by forfeiture by the Office of the Secretary of the State, Business Services Division. The statutory authority for administrative dissolution is as follows:

Limited Liability Companies - 34-267g

Stock Corporations - 33-890

Non-Stock Corporations - 33-1181

Limited Liability Partnerships - 34-422

Limited Partnerships - 34-32b
